This Paid Subscription Agreement (“Agreement”) governs paid access to Risqly (“Product”), provided by Risqly, a company registered in England with company number 16637957 and registered office at 6 Severn, Sheffield, England, S10 2UF (“Company”, “we”, “us”).
This Agreement is entered into between the Company and the individual or company subscribing to a paid plan via the Risqly website or an Order Form (“Customer”, “you”).
1.1 By selecting a paid subscription plan and completing checkout (or signing an Order Form, for Enterprise plans), the Customer agrees to be bound by this Agreement.
1.2 If the Customer is subscribing on behalf of a company or other organisation, the individual completing checkout confirms they have the authority to bind that organisation to this Agreement, and “Customer” refers to that organisation.
1.3 No physical or wet-ink signature is required for Starter, Growth, or Scale plans. Acceptance is recorded electronically at checkout, along with the date, time, and email address used. Enterprise plans may be subject to a separately signed Order Form, which incorporates this Agreement by reference.
3.1 The Customer may choose a monthly rolling subscription or an annual subscription at checkout or on the Order Form.
3.2 Monthly subscriptions are billed in advance each month and continue on a rolling basis until cancelled in accordance with Clause 4.
3.3 Annual subscriptions are billed in advance for a 12 month period and renew automatically for successive 12 month periods unless cancelled in accordance with Clause 4.
3.4 All fees are exclusive of VAT, which will be added where applicable. Fees are non-refundable except as expressly set out in Clause 6 (Cooling-Off Period) or as required by law.
3.5 If payment is not received by the due date, the Company may suspend the Customer's access to the Product until payment is made.
4.1 Monthly subscriptions may be cancelled at any time with effect from the end of the then-current monthly billing period. The Customer will retain access until the end of the period already paid for.
4.2 Annual subscriptions may be cancelled at any time, but will remain in effect, and fees will remain payable, until the end of the then-current 12 month period unless cancelled within the Cooling-Off Period under Clause 6.
4.3 Either party may terminate this Agreement immediately on written notice if the other party commits a material breach that is not remedied within 14 days of being notified, or becomes insolvent.
4.4 Upon termination or expiry, the Customer's access to the Product will end, and any outstanding fees become immediately due.
5.1 The Customer's subscription tier includes the number of Accounts specified in the table at Clause 2.1 or the applicable Order Form (the “Included Allocation”). If the number of Accounts in active use exceeds the Included Allocation at any point during a billing period, the Company will charge the Customer for each Account in excess of the Included Allocation (each, an “Excess Account”) at the applicable rate set out at Clause 2.1 (the “Overage Rate”), in addition to the Customer's standard subscription fee.
5.2 Overage usage is calculated based on the highest number of Accounts recorded at any point during the billing period and is invoiced in arrears at the end of that period.
5.3 The Company will notify the Customer where usage reaches 80% and 100% of their Included Allocation. Where usage exceeds the Included Allocation for two consecutive billing periods, the Company may require the Customer to upgrade to a higher tier at the next renewal.
6.1 The Customer may cancel a paid subscription within 14 days of the Subscription Start Date (the “Cooling-Off Period”) for any reason, by providing written notice to the Company. The Cooling-Off Period does not include, and does not begin until after, any free trial period has ended.
6.2 Where the Customer cancels within the Cooling-Off Period, the Company will refund the subscription fees paid for that period on a pro-rated basis, calculated by reference to the number of unused days remaining in the period, less:
(a) any Overage charges incurred under Clause 5 during the Cooling-Off Period; and
(b) any one-off setup, onboarding, or implementation fees expressly stated as non-refundable in the Order Form.
6.3 Refunds under this clause will be issued to the original payment method within 14 days of the Company receiving the cancellation notice.
6.4 The Cooling-Off Period applies once only per Customer, covering the Customer's first paid subscription. It does not reset or apply again on renewal, upgrade, downgrade, or change of tier for the same Customer.
6.5 This Cooling-Off Period is offered at the Company's discretion and is in addition to, and does not affect, any statutory rights the Customer may have.
7.1 Any non-public documentation, materials, or information provided by the Company in connection with the Product (“Confidential Information”) shall remain the property of the Company.
7.2 The Customer agrees to keep all Confidential Information strictly confidential and not disclose it to third parties without the Company's written consent.
7.3 This obligation continues indefinitely after termination of this Agreement.
8.1 All intellectual property rights in the Product remain with the Company.
8.2 Any feedback voluntarily provided by the Customer may be used by the Company to improve the Product. This does not affect the Customer's ownership of their own data or content entered into the Product.
The Product is provided on an “as-is” and “as-available” basis. To the maximum extent permitted by law, the Company makes no warranties, express or implied, regarding functionality, performance, or fitness for any particular purpose, and does not guarantee uninterrupted or error-free operation.
10.1 To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Product.
10.2 The Company's total aggregate liability arising out of or in connection with this Agreement shall not exceed the total fees paid by the Customer in the 12 months preceding the event giving rise to the claim.
10.3 The Customer is responsible for maintaining their own backups of any data entered into the Product.
10.4 Nothing in this clause excludes liability for death or personal injury caused by the Company's negligence, fraud, or any other liability which cannot legally be excluded under English law.
The Company will process any personal data provided by the Customer in accordance with the UK GDPR and the Data Protection Act 2018, and in line with the Company's privacy policy and Data Processing Agreement, available on request.
This Agreement is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13.1 This Agreement, together with any applicable Order Form, constitutes the entire agreement between the parties regarding the paid subscription.
13.2 No variation or waiver shall be effective unless in writing and agreed by the Company.
13.3 If any provision is found to be invalid, the remaining provisions shall remain in full force.
